Annex K – Marketing, Brand & Content Usage Rights

Annexure to the TheraStore Vendor Master Agreement

1. Purpose

This Annex governs the use of Vendor trademarks, logos, product images, videos, catalogues, descriptions, and other brand assets by TheraStore for marketplace operations, promotion, and customer acquisition.

2. License Granted to TheraStore

The Vendor grants TheraStore a non-exclusive, royalty-free, revocable license during the term of the Vendor relationship to use, reproduce, display, publish, distribute, resize, modify for formatting purposes, and promote Vendor-provided content.

This includes:

  • Product Images
  • Product Videos
  • Brand Logos
  • Brand Names
  • Product Descriptions
  • Catalogues
  • Marketing Materials
  • Product Specifications

3. Permitted Usage

TheraStore may use Vendor content on:

Marketplace Operations

  • Product Listing Pages
  • Category Pages
  • Search Results
  • Vendor Storefront Pages
  • Product Recommendation Sections

Marketing Activities

  • Social Media Posts
  • Paid Advertisements
  • Search Engine Advertising
  • Social Media Advertising
  • Professional Network Promotions
  • Email Marketing Campaigns
  • Messaging App Campaigns
  • Push Notifications
  • Blog Articles
  • Landing Pages
  • Promotional Banners

Educational Content

  • Product Demonstrations
  • Product Comparisons
  • Buying Guides
  • Therapy Product Recommendations
  • Rehabilitation Resource Content

4. Brand Representation

TheraStore agrees:

  • Not to knowingly misrepresent Vendor products.
  • Not to alter trademarks in a misleading manner.
  • Not to imply ownership of Vendor intellectual property.
  • To use reasonable efforts to maintain brand integrity.

5. Vendor Warranties

Vendor represents and warrants that:

  • It owns or lawfully controls all submitted content.
  • It has authority to grant the rights described herein.
  • The content does not infringe any third-party intellectual property rights.
  • The content complies with applicable laws.

6. Content Updates

Vendor may submit updated:

  • Logos
  • Images
  • Product Descriptions
  • Marketing Assets

TheraStore will use commercially reasonable efforts to update marketplace content within a reasonable period.

7. Removal of Content

Upon termination of the Vendor relationship:

  • Product listings may be removed.
  • Vendor storefronts may be disabled.
  • Future marketing use shall cease within a reasonable operational period.

However, historical content, archived listings, transaction records, analytics data, and previously published marketing materials shall not require retroactive deletion.

8. No Additional Compensation

Vendor acknowledges that use of Vendor content by TheraStore for marketplace operations, advertising, promotion, customer acquisition, and platform growth shall not require additional fees, royalties, commissions, or compensation.

9. Platform-Created Content

Any marketing materials, creatives, advertisements, category pages, banners, videos, educational content, buying guides, or promotional assets independently created by TheraStore shall remain the exclusive property of TheraStore.

10. Survival

The obligations relating to intellectual property ownership, historical transaction records, archived content, and platform-created content shall survive termination of the Vendor relationship.
